Terms & Conditions

1. Agreement

These Terms & Conditions govern your access to and use of acetate.si and any related services (the “Service”), operated by Acetate (“we”, “us”). By using the Service you agree to these terms. If you do not agree, do not use the Service.

2. What the Service is

Acetate is an analytical instrument. It uses large language models to produce written analysis of music rights, artists, catalogs, deals and campaigns from information that you supply. Its output is informational only.

3. Not professional advice

Nothing produced by the Service is legal, financial, investment, tax, accounting or valuation advice, and no attorney-client, fiduciary or advisory relationship is created by your use of it. Valuations, multiples, projections and deal analyses are estimates generated from the inputs you provide and from general market assumptions. They are not appraisals and must not be relied on for a transaction. Engage a qualified music attorney, accountant or licensed valuation professional before acting.

4. Accuracy and model behaviour

Language models can be wrong, can present plausible material that is incorrect, and can produce different answers to the same question. You are responsible for verifying every figure, name, date and claim before you rely on it or publish it. We make no warranty that output is accurate, complete, current or fit for any purpose.

5. Your content

You retain all rights in the material you submit. You grant us a limited licence to process it solely to operate the Service. You confirm that you have the right to submit it and that doing so does not breach any confidentiality obligation or third-party right. Do not submit unreleased masters, personal data of other people, or anything you are contractually barred from sharing.

6. Output

As between you and us, you own the output generated from your inputs, subject to these terms and to the policies of the underlying model provider. Output is generated probabilistically; identical or similar output may be generated for other users, and we make no claim of exclusivity or originality in it.

8. Third-party services

The Service is delivered using third-party infrastructure, which may include Anthropic (model inference), Vercel (hosting) and Supabase (accounts and storage). Your use is also subject to their terms. We are not responsible for their acts or omissions.

9. Availability

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We may change, suspend or discontinue any part of it at any time.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or exemplary damages, or for lost profits, lost revenue, lost data, or business interruption, arising from or related to the Service. Our aggregate liability for any claim is limited to the greater of (a) the amount you paid us in the twelve months before the claim, or (b) US$100.

11. Indemnity

You will indemnify and hold us harmless from any claim arising out of your inputs, your use of output, or your breach of these terms.

12. Intellectual property

The Service, including its name, marks, interface, code, prompts and design, is protected by copyright and other intellectual-property rights and remains our property. Nothing here transfers ownership of it to you.

13. Termination

We may suspend or terminate access at any time for breach of these terms. Sections 3, 4, 6, 10, 11 and 12 survive termination.

14. Changes

We may update these terms. Continued use after an update constitutes acceptance of the revised terms. The “last updated” date above will change.

15. Governing law

These terms are governed by the laws of the jurisdiction in which Acetate is established, without regard to conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute.
